These Terms and Conditions ("Terms") govern your access to and use of the ProxyDrone platform, operated jointly by SC Web LOFT SRL (CUI: 44674942, J40/13171/2021, registered at Str. Buzoeni 14, Sector 5, Bucharest) and AGXECUTIVE SRL (CUI: 34648490, J2015002000239, registered at Str. I. C. Brătianu 49, Mogoșoaia, Ilfov County, Postal Code 077135), through the ProxyDrone platform ("Company", "we"), including the website proxydrone.eu, mobile applications, and all related services (collectively, the "Platform").
By accessing or using the Platform, you confirm that you have read, understood, and agree to these Terms. If you do not agree, please do not use the Platform.
1. Definitions
"Client" — an individual or legal entity that requests drone services through the Platform.
"Operator" — an authorized individual or legal entity that provides drone services through the Platform.
"Service" — any work performed by an Operator at the request of a Client through the Platform, including but not limited to: agricultural spraying, NDVI mapping, aerial photography/videography, infrastructure inspections.
"Booking" or "Job" — a service contract initiated through the Platform between a Client and an Operator.
2. Nature of the Platform Service
ProxyDrone is a digital marketplace that facilitates the connection between Clients and verified drone Operators. ProxyDrone does not directly provide drone services and is not a party to the service contract between Client and Operator.
Operators are independent contractors, not employees or agents of ProxyDrone. The Platform does not control how, when, or where Operators perform their services.
2.1. No responsibility for Operator regulatory compliance. ProxyDrone does not assume responsibility for the legal, administrative, aeronautical, phytosanitary, environmental, fiscal or any other regulatory compliance of Operators and does not guarantee that Operators meet, at the time any given Service is performed, all applicable requirements (including, without limitation: AACR licences and certificates, ANSP airspace authorisations, drone civil liability insurance under EU Regulation 2019/947, phytosanitary certificates, APIA registrations, environmental permits, tax registrations). Document checks performed by the Platform at onboarding are purely administrative, rely on documents supplied by the Operator, and do not constitute a guarantee of continuous compliance throughout the contractual relationship. The Operator is solely responsible for keeping its documents valid and for full compliance with applicable law during each Service.
2.2. No responsibility for substances. ProxyDrone does not assume responsibility — neither toward Operators, nor toward Clients, nor toward any other third parties (including, without limitation: neighbouring landowners, beekeepers, residents in the vicinity, authorities, insurers, downstream buyers of agricultural produce, consumers) — for the selection, procurement, transport, storage, handling, dosing, application, mixing or disposal of any substances, materials or products used by Clients and/or Operators in connection with the Services, including, without limitation: plant protection products, pesticides, herbicides, fungicides, insecticides, foliar fertilisers, biostimulants, growth regulators, seeds, aqueous solutions, adjuvants or any other chemical or biological substances. The choice of substance, its compliance with applicable law (EC Regulation No. 1107/2009, Romanian GEO No. 34/2012, the Code of Good Agricultural Practice, the instructions on labels approved by the competent authorities), compliance with doses, pre-harvest intervals, buffer and protection zones (beekeeping, surface waters, protected natural areas, populated neighbourhoods), prior notification of affected third parties, as well as any direct or indirect effects of substance application (on crops, the environment, animals, persons, property or any third parties) are the sole responsibility of the Client and/or Operator, as allocated between them. The Platform does not sell, distribute, supply, recommend or approve any substances or substance suppliers. The Client and the Operator each undertake to indemnify and hold ProxyDrone (and its joint venturers) harmless against any claims brought by the other contracting party or by third parties in relation to substances used.
3. Eligibility and Registration
To use the Platform, you must:
- Be at least 18 years old;
- Provide accurate and complete information during registration;
- Maintain the confidentiality of your account credentials;
- Notify us immediately of any unauthorized access.
Operators must hold valid licenses, authorizations, and insurance as required by Romanian and European law (EU Regulation 2019/947). Document verification is mandatory before account activation.
4. Commission and Pricing
ProxyDrone charges a commission on each completed transaction. The current commission rate is displayed in the Platform and may be changed with prior notice to users.
Displayed prices do not include VAT. VAT will be calculated and added in accordance with applicable tax legislation.
The final price of a Service is determined by several factors: the base tariff of the service category, area/duration, urgency, seasonal multipliers, and any travel fees.
5. Payments and Escrow
Payments are processed through our payment provider (Stripe). Upon Booking confirmation, the total amount is held in an escrow account.
Fund release to the Operator occurs after:
- Service completion by the Operator;
- Sign-off by the Client;
- Completion of the review period.
In case of a dispute, funds remain locked until resolution.
6. Cancellations and Refunds
The Client may cancel a Booking at no cost if it has not yet been accepted by an Operator. After acceptance, the cancellation policy depends on the Service stage:
- Before work begins — full refund minus processing fees;
- After work begins — refund determined proportionally or through mediation.
7. Reviews
After a Service is completed, both parties have 3 days to submit a review. If a party does not submit a review within this period, the system will automatically add a 5-star review on their behalf.
Reviews must be honest and reflect the actual experience. ProxyDrone reserves the right to remove reviews containing abusive, discriminatory language, or false information.
8. Responsibilities and Limitations
ProxyDrone does not guarantee and does not assume responsibility for:
- Continuous availability of Operators;
- The quality, timeliness, safety or outcomes of services provided by Operators;
- The regulatory compliance of Operators (see Section 2.1);
- The selection, procurement, handling or application of any substances used by Clients and/or Operators (see Section 2.2);
- The accuracy of information provided by users (areas, coordinates, crop descriptions, local restrictions, etc.);
- Uninterrupted Platform operation.
Operators are solely responsible for:
- Full compliance with all regulations applicable to drone operations (EU Regulation 2019/947, AACR rules, ANSP authorisations, airspace restrictions, NOTAMs);
- Maintaining valid licences, certificates, authorisations and insurance throughout each Service;
- Verifying, selecting, lawfully procuring, transporting, storing, handling, dosing and applying any substances used in performing the Service, in line with approved labels and applicable law;
- Observing pre-harvest intervals, buffer zones, obligations to notify neighbours / beekeepers, and any other phytosanitary or environmental restrictions;
- The quality and safety of the services provided, and for any damage caused to third parties during Service performance.
Clients are solely responsible for:
- Providing accurate information about location, areas, crops, restrictions and requirements;
- Ensuring lawful access to the work site and holding the necessary rights over the land;
- Where the Client supplies substances or dictates their type/dose: their selection, lawful procurement, compliance with approved labels, and any consequences of their application;
- Timely payment for services.
Limitation of liability. To the maximum extent permitted by law, ProxyDrone, its joint venturers (SC Web LOFT SRL and AGXECUTIVE SRL), directors, employees and contractors shall not be liable for any direct, indirect, incidental, special, punitive or consequential damages (including, without limitation: crop losses, loss of revenue, environmental damage, administrative sanctions, fines, remediation costs) arising out of or in connection with: (i) the acts, omissions or regulatory non-compliance of Operators or Clients; (ii) the choice, quality, origin or effects of any substances used; (iii) the inaccuracy of information supplied by users; (iv) decisions made on the basis of data displayed on the Platform.
9. Intellectual Property
Platform content (design, logo, text, source code) is the property of ProxyDrone and is protected by copyright law. Users may not reproduce, modify, or distribute Platform content without written consent from ProxyDrone.
10. Suspension and Termination
ProxyDrone reserves the right to suspend or close the account of any user who:
- Violates these Terms;
- Provides false information;
- Engages in fraudulent activities;
- Receives repeated negative reviews.
11. Governing Law and Jurisdiction
These Terms are governed by Romanian law. Any dispute that cannot be resolved amicably will be submitted to the competent courts in Bucharest, Romania.
12. Changes to Terms
ProxyDrone may modify these Terms at any time. Significant changes will be communicated by email at least 30 days before taking effect. Continued use of the Platform after notification constitutes acceptance of the new Terms.
